The Rakuten’s 2025 New Jersey Festival Experience(“Sweepstakes”) is sponsored by Ebates Performance Marketing, Inc. dba Rakuten Rewards, 300 Mission St., Suite 1800, San Francisco, CA 94105 (“Sponsor” or “Rakuten”) and subject to the terms described herein (“Official Rules”). 1. Eligibility: The Sweepstakes is open to legal residents of the fifty (50) United States and the District of Columbia who have a valid social security or tax ID number and who are at least 18 years of age or older, at the time of entry (“Entrant”). Employees of Sponsor, Live Nation Worldwide, Inc. (“Live Nation”), their parents, subsidiaries, affiliates and advertising, prize suppliers and promotion agencies and their immediate families (parent, child, spouse or sibling and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related, are not eligible to participate or win. Sweepstakes Period: The Sweepstakes begins on July 3, 2025 at 12:00 a.m.EST and ends August 9, 2025 at 11:59 p.m. EST (“Sweepstakes Period”). 3. How to Enter the Sweepstakes: There are two (2) ways to enter during the Sweepstakes Period: (1) Entrants with a valid Rakuten account must visit https://www.rakuten.com/f/festivalsweepstakes and follow the instructions to complete and submit an online entry form. Completed entry form must contain Entrant’s full true name and Entrant’s Rakuten email address. Entrant will have to sign in to their Rakuten account to access the online entry form. If Entrants are not existing members of Rakuten, Entrants may join Rakuten for free at https://www.rakuten.com/. Entrants who have entered the Sweepstakes as stated herein, will be eligible for five (5) additional entries to the Sweepstakes by way of referring a friend to Rakuten through the Rakuten Refer-A-Friend page, subject to all terms found on https://www.rakuten.com/help/article/referral-program-terms-360000996328. Each time Entrant refers an eligible friend or family member who doesn’t already have a Rakuten account during the Sweepstakes Period, and the referred friend signs up for a new Rakuten account via the Entrant’s referral link during the Sweepstakes Period, each referral will automatically earn Entrant one (1) additional entry in the Sweepstakes, up to a maximum of six (6) entries per Entrant, inclusive of up to five (5) referrals. Each person is limited to one Rakuten account. Entrants and referrals must at all times comply with the www.Rakuten.com Terms and Conditions, and in the case of Entrants, these Official Rules in addition. Sponsor reserves the right to disqualify any entry that, in its sole discretion, is not in compliance with the www.Rakuten.com Terms and Conditions and these Official Rules. Entrants may refer friends and family by accessing Entrant’s account at www.Rakuten.com. Once Entrant is logged in, click on the Rakuten Refer-A-Friend page and “refer a friend” according to the steps provided on the page. Each Entrant is provided with a unique link to use to refer friends and family who are eligible to establish a new Rakuten account. An Entrant can send an email via the site or generate a Facebook or X post. For every eligible friend/family member who establishes a Rakuten account via the Entrant’s referral communication during the Sweepstakes Period, that Entrant will receive one (1) additional entry. Entrants should only invite people they know and who they think would want to receive the invitation. Spamming is prohibited. While we appreciate Entrants referring more than five (5) friends at one time, Entrants will only get a maximum of five (5) additional entries into the Sweepstakes for the first five (5) referrals that sign up for Rakuten during the Sweepstakes Period. Any eligible referrals received after the first five (5) referrals during the Sweepstakes Period will not count towards additional entry. All entries must be received by August 9, 2025 at 11:59 p.m. EST according to Sponsor’s time clock. (2) Alternate Method of Entry: Entrants may also enter the Sweepstakes by mail without purchase or obligation, sending up to a maximum of six (6) 3” x 5” postcards per Entrant with the following hand-written information – name (first and last), address (no P.O. Box) and email to: Rakuten, 800 Concar Drive, San Mateo, California 94402; Attention: Rakuten’s 2025 New Jersey Festival Experience. Mail-in entries must be postmarked during the Sweepstakes Period and received no later than August 11, 2025. Limit of six (6) entries per Entrant during the Sweepstakes Period. Only a maximum of six (6) entries per Entrant during the Sweepstakes Period will be accepted by either or both methods combined. Entries or referrals generated by script macro or other automated means or by any means that subverts the entry process will be void. All entries become the property of Sponsor. Entries in excess of the stated limitation will be void. Released Parties (as defined below) are not responsible for lost, late, damaged, delayed, destroyed, misdirected, inaccurate, stolen, false, incomplete, or garbed entries. Such entries are void and will not be accepted. ENTRY REQUIREMENTS: Entry must be in keeping with Sponsor’s image & not be offensive or inappropriate, as determined by Sponsor in its sole discretion. Entry must not defame or violate or infringe upon the rights of any person or entity. Entrants must at all times comply with the www.Rakuten.com Terms and Conditions. Sponsor reserves the right to disqualify any entry and remove any post that it determines, in its sole discretion, is not in compliance with these Official Rules. 4. Odds: Odds of winning a prize depend on the number of eligible entries received. 5. Winner Selection and Notification of Potential Winner: One (1) potential winner will be selected on or around August 14, 2025 at 12:00 p.m. EST at random by a representative of Sponsor from among all eligible entries received during the Sweepstakes Period (“Potential Winner”). Potential Winner will be notified via email at the email address provided at the time of entry: Potential Winner will be required to respond (as directed) within three (3) calendar days of attempted notification. The failure to respond timely to the notification may result in forfeiture of the prize and, in such case Sponsor may randomly select an alternate potential winner from among the remaining eligible entries, up to three (3) attempts. Potential Winner will be required to execute and return an affidavit of eligibility / liability / publicity release (“Release”) and other documents (including any applicable tax forms). Up to three (3) alternate potential winners may be randomly selected for any prize from among the remaining eligible entries if a Potential Winner for any prize: (i) cannot be reached; (ii) fails to prove eligibility, obtain all signatures on the Release and/or return any documents (including any applicable tax forms) or information required by Sponsor and/or Live Nation in a timely manner as required pursuant to these Official Rules; or (iii) cannot accept or receive the prize for any reason. In the event of a dispute as to the identity of the Entrant or winner, the Entrant or winner (as applicable) will be deemed to be the person in whose name the Rakuten account was opened and he/she must comply with these Official Rules. 6. Prize: One (1) prize which includes: two (2) VIP tickets to the Sea.Hear.Now. ® Festival in Asbury Park, New Jersey held on September 13-14, 2025 (“Festival”); round trip, economy class air transportation for two (2) from the major airport nearest prize winner’s home within the U.S. to the major airport nearest the Festival (limit $800 per person, $1,600 total, including taxes and fees); one (1) double occupancy standard hotel room for three (3) nights; and $200 prepaid cash card. Selection of airline and hotel, and any seat and/or room assignments are at the discretion of Sponsor, Live Nation, airline and/or hotel personnel. All other expenses not specifically mentioned herein are solely the winner’s responsibility. Ticket delivery method is at sole discretion of Sponsor and/or Live Nation which will be either sent to winner by mail, email, mobile ticketing or placed at venue Will Call the day of concert under the winner’s name. Winner must be present to pick up tickets and a valid photo ID will be required if tickets are placed at Will Call. Winner and guest must be at least eighteen (18) years of age and must abide by all venue and applicable Festival policies: https://support.seahearnowfestival.com/hc/en-us, including but not limited to, showing a valid photo ID at venue for age verification and/or identification purposes if requested. Sponsor and/or Live Nation reserves the right to revoke full or partial prize from any winner or winner’s guest who it or venue/Festival personnel deem may, in its sole discretion, be intoxicated, be a safety risk, have violated any venue/Festival policy or law, or may bring Released Parties into disrepute. Winner will be required to provide a credit card to hotel to cover incidentals which are not included in prize package. Travel must take place on the day prior to the Festival and return the day following the Festival; no alternate travel dates are available. If winner is unable or unwilling to travel on the dates specified, the prize will be forfeited and may be awarded to an alternate winner. All travel is subject to availability and restrictions. Winner and travel guest must travel on same itinerary. Winner and travel guest must sign and return a travel release before any ticketing of travel occurs. Winner and guest must have all necessary identification and/or travel documents (e.g., a valid U.S. government issued passport, or a valid state-issued driver’s license or Real ID-compliant license or ID, as applicable) required for travel. Winner and guest must comply with all airline, CDC regulations, and local government laws, rules, and requirements. Winner understands that there are inherent risks involved in travel and that these risks may be present before, during and after the trip. Released Parties are not responsible for changes in schedule of any element of the prize or for any expenses incurred as a consequence of flight cancellation or delay. Released Parties are not responsible and will have no liability if winner and/or guest is for any reason not permitted to travel by the relevant airport authorities or misses a flight or other travel element. Any unclaimed and/or unused prize element will remain the property of Sponsor. Resale of tickets is prohibited. By claiming Festival tickets, you agree to Front Gate’s Terms of Use, and to abide by the health and safety measures in effect at the time of the Festival.. Should the Festival be cancelled, winner will be notified as soon as reasonably possible. Winner is responsible for all federal, state and local taxes as well as all costs and expenses associated with prize acceptance and use not specified herein as being provided. Winner is not permitted to transfer or substitute prize. Sponsor reserves the right to substitute a prize of comparable or greater value, in its sole discretion. All prize details are at Sponsor’s sole discretion. Limit one (1) prize per winner for the entire Sweepstakes. Total approximate retail value (ARV) is four thousand eight hundred and fifty U.S. dollars ($4,850.00). Actual prize value subject to winner’s point of travel origin and hotel and airfare prices at the time/date of taking the trip and the Festival. Any valuation of the prize stated above is based on available information provided to the Sponsor. Any difference between ARV and actual value of prize will not be awarded. The value of any prize will be taxable to the winner as income. Winner must provide Live Nation with a signed IRS Form W-9 before any prize will be awarded, upon request. Winner will have income reported to them on an IRS Form 1099 for the ARV of the prize if the ARV exceeds six hundred U.S. dollars ($600), as required under IRS rules and a copy of said form will be sent to the IRS. Winner must contact their tax advisor for any questions concerning taxes. 7. Publicity: By participating in the Sweepstakes, any Entrant in the Sweepstakes, irrevocably grants the Sponsor and their respective successors, assigns and licensees, the right to use such Entrant’s comments on Sponsor’s giveaway posts, name, username, likeness, biographical information in any and all media for any purpose, including without limitation, commercial, advertising and promotional purposes as well as in, on or in connection with the Sweepstakes or other promotions, and hereby release the Sponsor from any liability with respect thereto, unless prohibited by law. 8. General Conditions: By participating, Entrants agree to be fully and unconditionally bound by these Official Rules and the decisions of Sponsor and waive any right to claim ambiguity in the Sweepstakes or these Official Rules. Any portion of the Sweepstakes may be canceled, suspended and/or modified, in whole or in part, if in Sponsor’s opinion any fraud, technical failure or other factor beyond our control impairs the integrity or proper functioning of the Sweepstakes. If terminated, Sponsor reserves the right at its sole discretion to select the potential winners in a random drawing from among all eligible, non-suspect entries received prior to action taken or as otherwise deemed fair and appropriate by Sponsor. Sponsor reserves the right in its sole discretion to disqualify any individual (and to disqualify false entries of any individual) who is found to be tampering with the entry process or the operation of the Sweepstakes or Sponsor’s website, to be acting in violation of these Official Rules, or to be acting in an unsportsman-like or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages (including, without limitation, attorneys’ fees) and other remedies from any such person to the fullest extent permitted by law including, criminal prosecution. Entrants may not enter with multiple identities or use any automated system, bot or other device or artifice to enter or obtain more than the maximum number of qualified entries. 9. Limitations of Liability: If for any reason an entry is confirmed to have been erroneously deleted, lost or otherwise destroyed or corrupted, the Entrant's sole remedy is another entry in the same Sweepstakes during the Sweepstakes Period. Potential winner also agrees to release, discharge, indemnify and hold harmless Sponsor, Live Nation, SHN Festivals, LLC and its landlords or licensors (related to the Festival), if any, Shaky Festivals Holdings, LLC, C3 Presents, LLC, Between the Sets, LLC, Sweetwood Presents, LLC, the owners and operators of the Venue (collectively “Sea.Hear.Now Festival”) and their respective parent, subsidiaries, affiliates and advertising and promotion agencies and all of their respective officers, directors, employees, representatives, prize suppliers and agents (collectively, “Released Parties”) from and against any claims, damages, disability, attorneys' fees, and costs of litigation and settlement, as well as any liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from: (i) use, redemption, acceptance, possession, ownership, or misuse of any prize, or (ii) participation in any Sweepstakes-related activity or participation in this Sweepstakes. Released Parties are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered, delayed, garbled or damaged entries, communications, Releases or mail; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prizes, or in any Sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Released Parties are not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in this Sweepstakes or downloading materials from or use of the website. In the event Sponsor is prevented from continuing with the Sweepstakes as contemplated herein by any event beyond its control, including but not limited to fire, flood, earthquake, explosion, labor dispute or strike, act of God or public enemy, or any federal, state or local government law, order, or regulation, or other cause not reasonably within Sponsor’s control (each a "Force Majeure" event or occurrence), Sponsor shall have the right to modify, suspend, or terminate the Sweepstakes. If the Sweepstakes is terminated before the designated end date, Sponsor will (if possible) select the winners from all eligible, non-suspect entries received as of the date of the event giving rise to the termination or award the prizes as otherwise deemed fair and appropriate by Sponsor. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. 10. Disputes: Disputes regarding these Official Rules and/or the Sweepstakes will be governed by the laws of the State of California without regards to its conflict of laws principles. Decisions of Sponsor are binding and final. No claimant in any dispute involving Sponsor shall be entitled to claim or obtain indirect, punitive, incidental or consequential damages. Sponsor's failure to enforce any provision in these Official Rules shall not constitute a waiver of that provision. 11. Sweepstakes Results: A list of winners will only be provided to the extent required by law.
